Terms of Service

1. Application

These terms apply to all relations between customers and imdigital concerning use of the services.

2. Services

Details and frequency follow the relevant pricing plan.

• Free consultation: a one-time introductory discussion, approximately 20 minutes, for first-time customers.
• Spot consultation: an online consultation of approximately 60 minutes.
• Monthly advisory: ongoing support through chat, regular online meetings and reviews.

3. Formation of a contract

Except for free consultations, a contract is formed after we review your request, confirm scheduling and service details, provide payment instructions, and confirm your completed payment. Submitting a request alone creates no contract or charge. We may decline requests.

4. Fees and payments

Fees are the tax-inclusive amounts shown in each pricing plan. Payment is by credit card through Stripe. Monthly advisory begins after agreement on the support scope during a spot consultation; we then send a Stripe payment link. The spot consultation fee is credited toward the first month. Monthly advisory renews and is charged automatically each month based on the initial application date. Additional execution work, such as advertising operations or production, requires a separate quote and agreement.

5. Termination

For monthly advisory, contact us using the inquiry form by the day before the next renewal to stop future charges. Fees for periods already paid are generally non-refundable.

6. Rescheduling and cancellation

The Refund Policy governs spot consultation rescheduling and cancellation.

7. Confidentiality

Unless required by law, we do not disclose business information learned through the services without your consent or use it for purposes other than providing the services.

8. Intellectual property

Rights in the site and services belong to imdigital or their rightful owners. Rights in deliverables created for customers follow individual quotes and agreements.

9. Prohibited conduct

• Violating laws or public order and morals.
• Infringing our or third parties’ rights or interests.
• Disrupting service operations.
• Unauthorized copying, republication or resale of our service content or materials.
• Providing benefits to antisocial forces or similar conduct.

10. Disclaimer

We do not guarantee outcomes such as sales, traffic or rankings. Where damage is attributable to us, compensation is limited to the amount you actually paid under the relevant contract.

11. Changes and interruption

We may change or suspend all or part of the services without prior notice for maintenance, force majeure or other unavoidable reasons.

12. Changes to terms

We may revise these terms as needed. Revised terms take effect when posted on this site.

13. Governing law and jurisdiction

Japanese law governs these terms. The Tokyo District Court has exclusive agreed jurisdiction as the court of first instance for disputes concerning the services.
